Stepwyn Terms of Use

Version 1 · Applies to the Stepwyn iPhone app from its App Store release.

1. Acceptance

These Terms of Use ("Terms") are an agreement between you and Guy Greenberg, Founder & CEO, a sole proprietor in Israel trading as Stepwyn ("we", "us"), for the Stepwyn iPhone app (the "App").

When you first open the App, we ask you to agree to these Terms and to confirm that you have read our Privacy Policy by tapping "Agree and continue". You can read both at any time in the App under Settings > Legal. If you do not agree, do not use the App.

2. These Terms and Apple's standard EULA

These Terms add to Apple's standard Licensed Application End User License Agreement (the "Apple EULA"). Both apply. If they conflict, these Terms apply, except where the Apple EULA or Apple's rules require otherwise.

3. Eligibility and age

The App is not for children under 13, or under 16 in EU/EEA countries where that higher age applies. If you are under 18 (or the age of legal majority where you live), you may use the App only with the involvement and consent of a parent or legal guardian, who accepts these Terms for you.

4. License to use the App

We give you a personal, limited, non-exclusive, non-transferable, revocable license to install and use the App for your own non-commercial purposes on Apple devices that you own or control, as allowed by the Usage Rules in the Apple Media Services Terms and Conditions. This includes use through Family Sharing where it applies. All rights not expressly granted are reserved.

5. What the App does

6. Price

The App is free. It has no purchases, subscriptions or ads. If we add paid features in the future, we will publish new Terms (a new version) and ask you to agree to them in the App before they apply to you.

Subscriptions: the App is currently free. If we offer paid features, we will update these Terms first and ask you to accept them.

7. Acceptable use

You agree not to:

8. Your content

You own everything you enter in the App, such as your goals, tasks, sessions and settings ("Your Content"). Your Content is stored only on your iPhone. We do not receive it, and you do not give us any license to it.

You are responsible for Your Content and for keeping your own backups, for example with the App's export feature. Exported backup files are plain, unencrypted files. Sessions you sync appear in a Stepwyn calendar in the Calendar app, which may sync them to your calendar accounts (such as iCloud). We hold no copy of Your Content, so we cannot restore it if it is lost or deleted.

9. Wellbeing disclaimer

Stepwyn is a motivational planning tool. It does not give medical, psychological, health, fitness, financial, legal or other professional advice, and it does not replace a qualified professional. Suggestions from the Assistant are created on your iPhone by fixed rules from what you enter. They are general prompts, not personal advice.

You choose your goals and plans and follow them at your own discretion. Talk to a qualified professional before starting any program that may affect your health, and get help immediately in an emergency. We do not promise any particular result. Reminders and calendar sessions may not appear (for example, if notifications or Calendar access are off), so do not rely on the App for anything time-critical or safety-critical.

10. Our intellectual property

The App, including its software, design, text, graphics and trademarks, belongs to us or our licensors and is protected by intellectual property laws. The App is licensed to you, not sold. If you send us feedback, we may use it freely and without any obligation to you.

11. Privacy

Your plans are stored on your iPhone. Stepwyn doesn't collect or upload them. They leave your phone only if you export a backup, add sessions to your calendar, or back up your iPhone. Please read our Privacy Policy.

12. Apple App Store terms

If you downloaded the App from Apple's App Store, the following also applies:

13. Disclaimers

To the maximum extent allowed by law, the App is provided "as is" and "as available", without warranties of any kind, express or implied. This includes warranties of merchantability, fitness for a particular purpose, accuracy and non-infringement, and any warranty that the App will work without interruption or errors, or that data will not be lost. Some countries do not allow certain disclaimers, so some of this may not apply to you.

14. Limitation of liability

To the maximum extent allowed by law, we (and anyone acting for us) are not liable for any indirect, incidental, special, consequential or punitive damages, for any loss of profits, opportunities or goodwill, or for loss of data that you could have avoided by keeping a backup. Our total liability for all claims about the App is limited to the greater of (a) the amount you paid us for the App in the 12 months before the claim (if any) or (b) USD 50 (or the equivalent in New Israeli Shekels).

Nothing in these Terms excludes or limits liability that the law does not allow us to exclude or limit, such as liability for fraud, wilful misconduct, gross negligence, or death or personal injury. Nothing in these Terms affects your statutory rights as a consumer, including under the Israeli Consumer Protection Law, 5741-1981, and the consumer laws of your country of residence.

15. Termination

You may stop using the App at any time by deleting it. We may end your license if you seriously breach these Terms, and we may discontinue the App or any feature. If your license ends, you must stop using the App and delete it. Your data is stored only on your iPhone, so export it first if you want to keep it. Sections 8 to 10 and 12 to 19 continue to apply after termination.

16. Governing law and courts

These Terms are governed by the laws of the State of Israel, without regard to its conflict-of-laws rules. Disputes may be brought before the competent court in Israel under the ordinary rules of jurisdiction, including the court for the area where you live if you live in Israel. If you are a consumer living outside Israel, this choice of law does not take away the protection of the mandatory laws of your country of residence, and you may also bring proceedings in the courts of your country of residence where those laws allow it.

17. Changes

We may update these Terms from time to time. Each version has a version number and an effective date. If we make a material change, such as to price, billing, your rights, our liability, or how we handle your data, we will show the updated Terms in the App and ask you to agree again before you continue to use it. Changes will not apply retroactively, and will not apply to a dispute that arose before the change. Minor edits that do not change the meaning, such as corrections or new translations, take effect when published. If you do not agree to updated Terms, stop using the App and delete it.

18. General

These Terms, the Apple EULA and the Privacy Policy are the entire agreement between you and us about the App. If any provision is found unenforceable, the rest remains in effect. If we do not enforce a provision, that is not a waiver. You may not transfer these Terms without our consent. We may transfer these Terms, and our role as controller under the Privacy Policy, to a company that Guy Greenberg forms or controls, or as part of a merger, acquisition or sale of Stepwyn, as long as your rights under these Terms are not reduced. We will tell you before such a transfer, in the App and, once it is live, on our website.

These Terms are written in English and are available in other languages. If a translation conflicts with the English version, the English version prevails, except where the consumer law of the country where you live gives you the right to rely on a version in your own language. If you live in Israel, the Hebrew and English versions are equally binding.
